This Licence Agreement (“Licence”) is a legal agreement between you (“You”) and National Highways Limited (CRN: 09346363) of Bridge House, 1 Walnut Tree Close, Guildford, Surrey GU1 4LZ (“NH”) for:

  • the provision of NH’s Transport Data Feeds (the “Information”).

NH hereby licences the use of the Information to You on the basis of this Licence.  NH does not sell the Information to You.  NH or the Crown remain the owners of the Information at all times.

IMPORTANT NOTICE TO ALL USERS:

By registering and using using any service provided on this site You agree to the terms of this Licence which will bind You and your employees, where You represents an organisation.  The terms of this Licence include, in particular, limitations on liability in paragraphs 4, 5 and 6.

If You do not agree to the terms of this Licence, you must not proceed with registration and you may not make any further use of the Information.

You should print a copy of this Licence for future reference.

1.            These licence terms and conditions are based on version 2.0 of the Open Government Licence with specific amendments for NH.

2.            NH may at any time revise this Licence without notice.  It is up to You to regularly review this Licence, which will be available on this website, in case there are any changes.  Your continued use of the Information after a change has been made to the Licence will be treated as acceptance of that change by You.

3.            This Licence shall apply from the date of Your registration and shall continue for the period the Information is provided to You or You breach the Licence.

Disclaimer

4.            The Information is provided ‘as is’, without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

5.            NH does not warrant that the provision of Information will be uninterrupted or error free, that defects will be corrected or that the Information or the portal or server that makes it available are free of viruses or represent the full functionality, accuracy, reliability of the Information.

6.            In no event will NH be liable for any loss or damage including, without limitation, indirect or consequential loss or damage, or any loss or damages whatsoever arising from use or loss of use of, data or profits arising out of or in connection with the use of this site or the Information.

Using Information under this Licence

7.            NH grants You a worldwide, royalty-free, perpetual, non-exclusive Licence to use the Information subject to the conditions of this Licence (as varied from time to time).

8.            You shall be notified of activation of Your right to access the Information via email.

9.            Access to the Information by individuals is granted on the basis of their working for You.  Should an individual having a sign-on allowing him or her to access the Information leave Your employment, You must notify NH immediately so that its records are updated.  If the individual requires continued access to Information in a new role his or her new employer must re-apply to NH for authorisation.

10.          NH reserves the right to change the content or format of the Information.

11.          The NH system administrator reserves the right to suspend access to the Information to perform maintenance operations.

12.          You accept that Your user details and that of Your employees will be stored in a secure database for administration purposes.

Commercial

13.          Whilst the Information is currently supplied to You without charge, NH reserves the right to charge for the supply of Information at a future date.  Should it do so, NH will provide You with a minimum of 6 months’ notice of its intention to do so together with the proposed charges.  NH will endeavour to provide 12 months’ notice if future charges for Information are applied.

14.          NH reserves the right to suspend or terminate the supply of Information to You for failure to comply with these terms and conditions.

15.          NH reserves the right to suspend or terminate the supply of Information to You for its convenience.

16.          NH reserves the right to permanently cease supply of the Information due to changes in policy or as a result of abuse.

17.          Where supply is ceased due to abuse (which can include inadvertent disruption of NH’s systems due to incorrect operation or design of Your interface used to access the Information), such cessation may take immediate effect.

18.          This Licence does not affect Your freedom under fair dealing or fair use or any other copyright or database right exceptions and limitations.

Rights

19.          You are free to:

(a)          copy, publish, distribute and transmit the Information;

(b)          adapt the Information; and

(c)           exploit the Information commercially and non-commercially for example, by combining it with other Information, or by including it in Your own product or application. 

Requirements

20.          You must, where You do any of the things described in paragraph 19:

(a)           acknowledge NH as the source of the Information by including the following attribution statement 'Powered by National Highways’ Transport Data Feeds’;

(b)          ensure NH’s intellectual property rights, including all logos, design rights, patents and trademarks, are protected by following NH’s branding guidelines

(c)           ensure the information You provide on registration is accurate;

Exemptions

21.          This Licence does not:

(a)           transfer any intellectual property rights, including copyright or Crown Copyright in the Information to You or any third party;

(b)           include any personal data in the Information;

(c)           provide any rights to use the Information after this Licence has ended;

(d)           provide any rights to use any other of NH’s intellectual property rights, including patents, trademarks and design rights;

(e)           permit You to use any automated system, software or process to extract content and/or data, including trawling, data mining and screen scraping, except where expressly permitted under a separate written licence agreement with NH.

Data Protection

22.      Both parties will comply with all applicable requirements of the Data Protection Act 2018 (DPA) and UK GDPR (as set out in section 3(10) of the DPA, supplemented by section 205(4)). This clause  is in addition to, and does not relieve, remove or replace, a party's obligations or rights under the DPA.

 23.       NH may collect certain information about You and Your personnel, representatives and agents, in connection with this licence, as set out in the NH Privacy Notice, available here (link). By accepting these licence terms and conditions, and accessing and using the Information You  consent, and shall procure all required consents from Your personnel, representatives and agents to all actions taken by NH in accordance with the Privacy Notice. In the event of any inconsistency or conflict between the terms of the Privacy Notice and this agreement, the Privacy Notice will take precedence.

Jurisdiction

24        These Licence terms and conditions are governed and construed in accordance with the laws of England.  The courts of England shall have exclusive jurisdiction over disputes between You and NH arising out of the access or use of the Information.  Omission by NH to exercise any right under these terms and conditions will not constitute a waiver of such right unless expressly stated by NH in writing.
